Terms of Service

These Terms of Service ("Terms") govern your use of IVA software ("Software") provided by Nexxex Technologies ("Company", "we", "us"). By downloading, installing, or using the Software, you agree to these Terms.

1. License Grant

Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to use the Software for personal or commercial purposes in accordance with the Apache License 2.0.

You may install and use the Software on any number of devices you own or control
You may modify the source code for your own use
You may distribute modifications under the same Apache 2.0 license

2. Intellectual Property

The Software, including its architecture, algorithms, design patterns, and documentation, contains proprietary elements owned by Nexxex Technologies. While the source code is available under Apache 2.0:

The "IVA" name and Nexxex branding are trademarks of Nexxex Technologies
The unique system architecture and skill integration methodology are proprietary concepts
You may not use our trademarks without written permission

            Important: The underlying concepts, business methods, and architectural innovations of the
            Software remain intellectual property of Nexxex Technologies, regardless of license.
        

3. Restrictions

You agree NOT to:

Remove or alter any proprietary notices or labels
Use our trademarks in derivative works without permission
Represent your derivative work as the official IVA product
Use the Software for any illegal purpose
Attempt to reverse-engineer any compiled components
Sublicense the Software under different terms

4. Local Processing

The Software is designed to run entirely on your local device:

All AI processing occurs locally using Ollama
No data is transmitted to our servers during normal operation
You are responsible for the security of your local installation

5. Third-Party Components

The Software uses third-party components, including:

Ollama - Subject to its own license terms
AI Models - Each model has its own license (e.g., Llama, Qwen)
Open Source Libraries - Listed in requirements.txt

You are responsible for complying with all third-party license terms.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Software will be error-free
AI outputs may be inaccurate or inappropriate
You use the Software at your own risk

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXXEX TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY:

Indirect, incidental, special, or consequential damages
Loss of profits, data, or business opportunities
Damages arising from AI-generated content or actions
Damages exceeding the amount you paid for the Software (if any)

8. Indemnification

You agree to indemnify and hold harmless Nexxex Technologies from any claims, damages, or expenses arising from:

Your use of the Software
Your violation of these Terms
Actions taken by AI while using the Software

9. Updates and Modifications

We may:

Update the Software at any time
Modify these Terms with notice
Discontinue the Software without liability

Continued use after changes constitutes acceptance of new Terms.

10. Termination

We may terminate your license if you violate these Terms. Upon termination:

You must stop using the Software
You must delete all copies
Sections 2, 6, 7, 8, and 11 survive termination

11. Governing Law

These Terms are governed by the laws of India. Any disputes shall be resolved in the courts of [Your City], India.
